Let’s be serious for once, sit with me and take a sit.

Let’s have a chat on what I’m doing …

Some people often asked for what I’m doing,

for once it’s easy for me to explain

but for couple times people don’t really get what I’ve been done.

I am working for Corporate Secretary.

Not the secretary in term of administrator or assistant for anybody,

or somebody who take the phone call, make an appointment for anybody.

Quite like a secretary for the company and ensuring its compliance to legal requirements.

Coprporate Secretary assists the Company’s board so that they are and they act in line with the prevailing regulations.

The definition from Wikipedia verse might help quite a bit :

A company secretary is a senior position in a private company or public organization, normally in the form of a managerial position or above. In the United States it is known as a corporate secretary.


The Company Secretary is responsible for the efficient administration of a company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the Board of Directors are implemented.


Despite the name, the role is not a clerical or secretarial one in the usual sense. The company secretary ensures that an organization complies with relevant legislation and regulation, and keeps board members informed of their legal responsibilities. Company secretaries are the company’s named representative on legal documents, and it is their responsibility to ensure that the company and its directors operate within the law. It is also their responsibility to register and communicate with shareholders, to ensure that dividends are paid and to maintain company records, such as lists of directors and shareholders, and annual accounts.


In many countries, private companies have traditionally been required by law to appoint one person as a company secretary, and this person will also usually be a senior board member. The earning capacity of senior level company secretaries is often underestimated. The average salary of a company secretary working in a organisation is £180,000 (as per this note shall be equal with IDR 2.422.080.000 or US$ 259.020 .. let say per year, so monthly you will get IDR 201.840.000 per month Woowwww …. Amazing … I guess in Indonesia this is Director’s salary or even Ministry’s salary ???? who knows lah …someday…tapi pada saat inflasi berapa ya? Hahaha…)


Back to Indonesian Law, as refer to Bapepam-LK Regulation No.IX.I4. every public company is required to establish or form corporate secretary function, which shall have the following tasks:

·         keep informed with respect to Capital Market developments, especially Capital Market Regulations;

·         provide the public with all information needed by investors regarding the condition of the Issuer or Public Company;

·         make recommendations to the Issuer or Public Company’s board of directors with respect to compliance with the Capital Market regulations and its implementation rules;

·         act as the Issuer’s or Public Company’s contact person  with Bapepam-LK and the public;

·         The functions of Corporate Secretary may be concurrently performed by a director of the Issuer or Public Company.

Modus Baru Tele(phone) Marketer

Seorang lelaki, let’s say a telemarketer (T) dengan high tone, loud, and clear, also full of confidence dan berapi-api di sebrang telepon.  Di sisi sini,  aku yang lagi terengah-engah dikejar dead-line (gw), masih berusaha mencerna apa yang ditawarkan, sembari bersiap-siap say “No”

Actually kerap banget para tele marketer nelpon di jam-jam yang nggak manusiawi, tapi kadangkala gw masih berbaik diri-lah memposisikan diri bila ada di tempat mereka, kasian aja orang mau jualan, masa belum belum-belum udah ditolak. Biasanya masih dikasih kesempatan berbicara untuk beberapa waktu, meski lebih sering akhirnya ditolak juga penawarannya, at least I tried to listen, khan?

Kejadian juga just now, berusaha mendengarkan sepenuh hati, apalagi katanya, gw dapet hadiah gratis (apaahhh??? Hari ini gratis ?? nggak mungkin banget khan??) percakapan di bawah ini disarikan dari pembicaraan sebenarnya yang jauh lebih lama…

T        :  Selamat pagi Ibu ___ (menyebutkan nama kecil-ku, tumben nggak salah spelling), benar saya berbicara dengan Ibu ________ (menyebutkan nama lengkap-ku) ?

Gw     :   (dengan malas-malasan) benar !

T        :   Ibu, Selamat ya Ibu telah terpilih mendapatkan paket hadiah gratis dari A _____ S (dengan sumringah), Ibu menerima ini karena tercatat memiliki record yang baik dalam hal pembayaran kartu kredit Visa dan Master Card-nya.

Gw     :   (belum tergoda) oya, kok bisa ?

T        :   ini paket yang tidak bisa terlewatkan Ibu…bla..bla…bla…. (disebutkan lah bahwa gw bakal mendapat GRATIS kartu pendamping Visa dan Master sebagai discount card selama 10 TAHUN berikut deretan paket gratis yang menggiurkan dari mulai voucher 1 ticket pesawat route domestic berikut voucher menginap di hotel, semua paket gratis senilai 8 juta rupiah akan dikirimkan ke rumah, TANPA DIKENAI BIAYA APAPUN TERMASUK MEMBERSHIP…..)

Gw     :   (mulai tergiur tapi mulai curiga) dan saya harus bayar….. (dibiarkan menggantung…)

T        :   wahhh ibu bagaimana.. khan saya sudah bilang gratis bu! Cukup Ibu bayar pajak-nya sekali saja selama 10 tahun tidak akan diminta lagi (nah ini diaaaa…) dari keseluruhan paket sejumlah 8 juta, ibu cukup membayar pajak…. Bayar pajak loh bu..sebesar Rp.2 juta saja..dan pembayaran pajak ini bisa dibayar dengan kartu kredit dengan cara mencicil (pajak kok bisa dicicil? Jadi inget Gayus dech).

Gw     :   Nah! Saya bayar pajaknya kapan?

T        :   Ibu bayar sekali saja, bulan depan langsung kami debet.

Gw     :   Nggak salah mas ? saya khan belum pakai? Bukannya saya harus menerima dulu barangnya baru saya bayar pajak ya? Dimana-mana bukannya barang atau jasa dan pajak berbarengan datengnya? Jadi apa bedanya ini dengan membership ? saya kok ngelihatnya seperti bayar membership aja (eng..ing..eng…)

T        :   lho..lho..beda Bu! Ini bukan membership.. ini gratis !!! saya khan sudah bilang dari tadi kalo ini gratis !!

Gw     :   ach saya nggak liat bedanya, mas ! saya masih liat ini seperti membership kok… begini aja dech… mas kirim aja ke saya lewat email biar saya bisa pelajari…

T        :   Mana bisa begitu Bu! Kami tidak bekerja dengan cara itu, tidak ada brochures dll, ini voucher yang kita kirim setelah mendapat konfirmasi Ibu.

Gw     :   yah ! kalau begitu saya nggak mau terima paket-nya dech mas!

T        :   lho kok begitu ? tidak ada yang menolak Bu! Selama ini selalu diterima…

Gw     :   saya harus berbicara sama suami saya, apa dasarnya kalau begitu?

T        :   ya sudah kalau ibu tidak tertarik ! ..klik (Nah loh dia duluan yang tutup.. nggak ba bi bu lagi…)

Modus baru … iuran membership disamarkan dengan tagihan pajak.
